Applications open for vacancies on Tillsonburg Hydro Inc. Board of Directors

Tillsonburg Hydro Inc. (“THI”) is seeking individuals with governance abilities to serve as an active member on the Board of Directors. THI is a progressive utility looking for support and ongoing commitment to customer and operational excellence while working within the Ontario Business Corporations Act and Ontario Energy Board regulations. The vision of THI is to deliver electricity through safe, dependable, cost-effective and environmentally responsible practices.

THI is seeking applicants interested in filling three (3) positions on the seven (7) member Board of Directors of THI for up to a 3-year term commencing Summer of 2023.

Last day to apply: Friday, April 21, 2023 at 4:30 p.m.

Directors are responsible for managing risk, reviewing corporate policies and confirming effective systems are in place to ensure the integrity of corporate internal controls. Directors are also accountable for the monitoring and oversight of the organization’s performance goals and ensuring financial accountability.

Primary Obligations:

  • Support the mission, vision and values of THI and participate in the company’s strategic goals and objectives.
  • Attend Board of Directors meetings and be prepared for decision-making by reviewing all relevant materials prior to meetings.
  • Involvement in Board Committees and applicable meetings.
  • Participate in Board training and orientation programs.
  • Time commitment of approximately 3-4 hours per month.

Qualifications:

THI is seeking applicants who can demonstrate:

  • experience with corporate finance and business management;
  • knowledge of corporate governance;
  • knowledge of the energy industry; and
  • knowledge of labour relations and occupational health and safety matters.

Ontario Business Corporation Act states a majority of the Board of Directors must be resident Canadians and that a director can be any individual except:

  • a person who is less than eighteen (18) years of age;
  • a person who is unsound of mind and has been so found by a court in Canada or elsewhere;
  • a person who has the status of bankrupt.
